Metinvest and Danieli at the signing of the Shareholder Agreement

Unconditional approval granted for the establishment of Metinvest Adria S.p.A.

On April 28, 2025, the European Commission approved, under Regulation (EC) No. 139/2004, the creation of a joint venture between Metinvest B.V.—a Netherlands-based company and part of the Ukrainian Metinvest Group—and Italy’s Danieli & C. Officine Meccaniche S.p.A.

The new entity, named Metinvest Adria S.p.A., will – as per official document – focus on building and operating a greenfield plant for the production of hot-rolled carbon steel using electric arc furnace (EAF) technology.

The Commission reviewed the deal under the simplified procedure, as the parties’ market shares did not raise competition concerns. The transaction received unconditional clearance.

The partnership agreement between Metinvest and Danieli was officially signed on February 19, 2025, at the Ministry of Enterprises and Made in Italy (MIMIT), establishing the joint partnership between the two groups in Metinvest Adria S.p.A. and formalizing the main aspects of the shared management of the new steel plant planned in Piombino, which will produce steel using cutting-edge and environmentally friendly technologies.
